CORPORATE COACHING SERVICES AGREEMENT
This Corporate Coaching Services Agreement (Agreement) is entered into between:
GO MAMA Pty Ltd (ABN: 42 684 827 021) of 57 Forest Drive, Elanora QLD 4221
and
Alchemy Recruitment Pty Ltd (ABN: 62 148 088 742) of Level 8, 15 Adelaide Street
Brisbane City QLD 4000
Together referred to as the Parties.
1. Purpose of Agreement
This Agreement sets out the terms under which GO MAMA will provide professional one‑to‑one coaching services to nominated staff members of Alchemy Recruitment for professional development, performance support, wellbeing, and leadership capability.
Coaching is a reflective, non‑directive process designed to support insight, clarity, and self‑led action. Coaching is not therapy, counselling, legal advice, financial advice, or performance management.
2. Scope of Services
2.1 GO MAMA will provide: - Individual 1:1 coaching sessions delivered via videoconference - Each session up to 60 minutes in duration - Coaching delivered in accordance with ICF‑aligned professional standards
2.2 Coaching topics may include (but are not limited to): - Performance and goal clarity - Leadership presence and communication - Return‑to‑work transition - Boundaries, energy management, and resilience - Career alignment and decision‑making
2.3 GO MAMA does not guarantee any specific outcomes, performance improvements, promotions, retention outcomes, or financial results.
3. Fees and Billing
3.1 Fees - $275.00 AUD + GST per 1:1 coaching session,
$600 + GST per person for quarterly check in calls,
$400 + GST per person for yearly reporting and end of year wrap up, or
$900 + GST per year per person quarterly check in calls and reporting bundle
3.2 Billing Structure - Coaching services will be billed quarterly in arrears based on the number of sessions completed and add on services taken up - Invoices are payable within 7 days of invoice date unless otherwise agreed in writing
3.3 Additional Sessions - Any sessions delivered outside the agreed quarterly allocation will be invoiced at the standard rates set out in Section 3.1
4. Scheduling and Cancellations
4.1 Scheduling - Sessions will be scheduled directly between GO MAMA and the individual staff member, in consultation with the Client where required
4.2 Cancellations - A minimum of 24 hours’ notice is required to reschedule or cancel a session - Sessions cancelled with less than 24 hours’ notice will be charged at half price, except in cases of genuine emergency
5. Confidentiality
5.1 Coaching Confidentiality - Coaching sessions are confidential between the coach and the individual participant - GO MAMA will not disclose session content to Alchemy Recruitment without the participant’s explicit consent
5.2 Organisational Reporting - Where agreed, GO MAMA may provide high‑level, non‑identifying thematic feedback to the Client (e.g. common focus areas or development themes) - No personal disclosures, opinions, or sensitive information will be shared unless otherwise agreed between the Client and staff member
6. Privacy and Data Protection
6.1 GO MAMA complies with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs)
6.2 Personal information collected during coaching will: - Be used solely for the purpose of delivering coaching services - Be stored securely - Not be disclosed to third parties without consent unless required by law
6.3 Videoconferencing sessions will not be recorded unless expressly agreed in writing by all parties.
7. Roles and Responsibilities
7.1 GO MAMA Responsibilities - Deliver coaching in a professional, ethical, and respectful manner - Maintain appropriate professional boundaries - Act in accordance with applicable laws and industry standards
7.2 Client Responsibilities - Ensure staff participation is voluntary - Support reasonable scheduling availability - Pay invoices in accordance with this Agreement
8. No Employment or Performance Liability
8.1 Coaching is not performance management, disciplinary action, or employment advice.
8.2 GO MAMA is not responsible or liable for: - Employee performance outcomes - Promotion or remuneration decisions - Employee resignation or termination - Workplace disputes or grievances
8.3 Any decisions made by participants following coaching are their own responsibility.
9. Limitation of Liability
To the maximum extent permitted by law: - GO MAMA’s liability is limited to the value of fees paid for the relevant quarter - GO MAMA will not be liable for indirect, consequential, or economic loss
Nothing in this Agreement excludes liability that cannot be excluded under Australian Consumer Law.
10. Term and Termination
10.1 Term - This Agreement commences on the date of execution and continues on a rolling quarterly basis
10.2 Termination - Either party may terminate with 30 days’ written notice - Any services delivered prior to termination remain payable
11. Governing Law
This Agreement is governed by the laws of Queensland, Australia, and the Parties submit to the jurisdiction of the Queensland courts.
12. Entire Agreement
This Agreement constitutes the entire agreement between the Parties and supersedes any prior discussions or representations.
13. Execution
